As you may be aware, the Ontario Not-for-Profit Corporations Act (ONCA) introduced new regulatory requirements for not-for-profit and charitable organizations. To ensure compliance and maintain our charitable status, the ZSO engaged Carters Professional Corporation and legal counsel Jacqueline M. Demczur, a specialist in not-for-profit law, to guide the necessary updates to our governing documents.
We are pleased to share that the final draft of the revised constitution is now complete. As part of this update, the current General Operating By-law No. 1—specifically Parts A, B, and C of the “Constitution, By-laws & Code of Conduct” enacted on April 12, 2015—will be repealed and replaced by the new General Operating By-law No. 2 in accordance with ONCA requirements.
We invite all ZSO members to review the proposed updates and attend an information session on Sunday, July 6, 2025, at 10:00 a.m. at the Mehraban Guiv Darbe Mehr (MGDM).
This 90-minute session will provide an overview of the changes and prepare members for the upcoming Special Resolution Meeting (SRM) to be held later in 2025, where the adoption of the new by-law will be formally considered.
